Amaran Terms of Service

Last Updated: October 3, 2026

Questions about these Terms: support@amaran.app

PLEASE READ THESE TERMS CAREFULLY. They govern your use of the Amaran websites, mobile applications, private storage, digital legacy and delivery features, subscriptions, and related services. By creating an account, accepting these Terms, purchasing a plan, or using the Service, you agree to be bound by them.

AUTOMATIC RENEWAL NOTICE. If you purchase a monthly or annual subscription, it will automatically renew until canceled through the applicable billing provider. See Section 12 for trial, renewal, cancellation, refund, and promotional terms.

U.S. ARBITRATION AND CLASS-ACTION NOTICE. Section 24 contains an agreement to resolve most U.S. disputes through binding individual arbitration, a class-action waiver, and a jury-trial waiver, subject to the exceptions and 30-day opt-out described there.

Some notes for European and other non-U.S. consumers: mandatory consumer protections may modify or override portions of these Terms. See Section 25.

You should save or print a copy of these Terms for your records.

1. Agreement, Company, and Eligibility

These Terms of Service ("Terms") form a legally binding agreement between you and Amaran LLC, a Delaware limited liability company ("Amaran," "we," "us," or "our"), governing your access to and use of the Amaran mobile application, websites, private storage services, digital legacy and delivery features, subscriptions, and related services (collectively, the "Service").

By creating an account, clicking or tapping an acceptance control, purchasing a plan, or using the Service, you agree to these Terms and acknowledge the Amaran Privacy Policy. If you do not agree, do not create an account or use the Service.

You must be at least 18 years old and legally capable of entering into a binding agreement. If applicable law gives you rights that cannot be waived by contract, those rights remain unaffected.

2. What Amaran Is

Amaran is a secure private storage and digital legacy service that allows users to store selected information and, where supported, configure instructions concerning whether, when, and to whom selected content should be delivered.

You control what you store, which content is assigned to each recipient, and the schedule, inactivity condition, recurring schedule, manual action, or other supported trigger associated with a delivery.

3. What Amaran Is Not

3.1 Not an Emergency or Monitoring Service

Amaran is not an emergency response, life-safety, medical-alert, missing-person, law-enforcement, rescue, or continuous monitoring service. We do not determine whether you are safe, alive, incapacitated, missing, traveling, detained, or otherwise unable to act. If you or another person may be in danger, contact the appropriate emergency services directly.

3.2 Not Legal, Financial, Medical, Tax, Insurance, or Fiduciary Advice

Amaran is not a law firm, financial adviser, estate planner, executor, trustee, fiduciary, medical provider, accountant, insurance adviser, or other professional adviser. Nothing provided through the Service is legal, tax, financial, estate-planning, medical, insurance, or other professional advice. No attorney-client, fiduciary, trustee, executor, or professional advisory relationship is created.

3.3 Not a Legal Instrument

Content stored or delivered through Amaran does not by itself constitute or replace a legally valid will, trust, beneficiary designation, power of attorney, deed, assignment, advance directive, testamentary instrument, or other legal document. A delivery does not transfer ownership of an account, asset, or property; change legal title; designate a legally recognized beneficiary; or authorize a recipient to act on your behalf.

We do not review User Content for legal validity, accuracy, enforceability, completeness, or consistency with your other legal documents.

3.4 Not Your Sole Backup

Amaran should not be your only copy of any information that you cannot afford to lose. You are responsible for maintaining independent backups of important documents, files, and information.

4. Account Registration, Authentication, and Security

You are responsible for providing accurate and current account information and for protecting your password, registered email account, devices, and authentication credentials. You are responsible for activity conducted through your account to the extent permitted by applicable law.

Password recovery may depend on access to the email address associated with your account. A person who obtains control of that email account may be able to reset your password and obtain access to your Amaran account.

Notify security@amaran.app promptly if you believe your account or credentials have been compromised. We may require reasonable identity verification before restoring access, changing security-sensitive information, or processing deletion requests.

5. Limited License

Subject to these Terms, Amaran grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Service for lawful personal purposes. You acquire no ownership interest in Amaran software, trademarks, designs, interfaces, systems, or proprietary technology.

Except where applicable law expressly permits otherwise, you may not copy, modify, reverse engineer, decompile, distribute, resell, lease, sublicense, scrape, circumvent security controls, or attempt to derive source code from the Service.

6. Your Content

6.1 Ownership

As between you and Amaran, you retain ownership of the photos, videos, documents, files, notes, and other content you upload, create, or store through the Service ("User Content").

6.2 Limited License to Operate the Service

You grant Amaran a worldwide, non-exclusive, royalty-free license to host, store, copy, encrypt, decrypt where technically necessary, process, transmit, display, make available, and otherwise use User Content only as reasonably necessary to operate, secure, support, administer, troubleshoot, and improve the Service; carry out your instructions; prevent fraud or abuse; and comply with applicable law.

This license ends when the relevant User Content is permanently deleted from our active systems, except for residual backups, records we are legally permitted or required to retain, and copies already delivered to or independently retained by recipients.

6.3 Your Responsibility for Content and Instructions

You are solely responsible for User Content and for ensuring that you have the legal right to store and direct delivery of it, that it does not violate law or another person's rights, and that your instructions remain accurate and current.

We do not verify whether account details, recipient information, passwords, documents, financial details, insurance information, family information, or other stored information remain accurate. If you leave outdated, incomplete, or unintended instructions in the Service, the Service may act on the information you last saved.

6.4 Information About Other People

If you provide personal information concerning a recipient, family member, child, employee, or other person, you represent that you have a lawful basis or authority to provide and use that information for the purpose for which you use Amaran.

7. Security Model and User Acknowledgment

Amaran uses safeguards designed to protect information, including encryption in transit, encryption at rest, authentication controls, and access restrictions.

Amaran does not currently operate a user-exclusive zero-knowledge or end-to-end encryption architecture. Authorized Amaran personnel and authorized service-provider systems may technically be capable of accessing User Content when reasonably necessary to operate, support, secure, investigate, administer, or comply with legal obligations relating to the Service.

No electronic system can guarantee absolute security. To the fullest extent permitted by law, you acknowledge the inherent risks of storing and transmitting information electronically and agree not to use Amaran as the sole repository for irreplaceable data.

8. Recipients and Delivery Instructions

8.1 Your Instructions Control

You control which recipient receives which content and the trigger or schedule associated with that content. The Service relies on the instructions most recently saved in your account.

8.2 Inactivity and Check-In Triggers

Where you configure an inactivity, check-in, or similar trigger, failure to respond before the configured deadline will be treated as your instruction to proceed with the applicable delivery.

Amaran cannot determine why you did not respond. You may have died, become incapacitated, lost your device, changed email access, missed a notification, lacked internet access, been traveling, intentionally ignored the reminder, or simply forgotten. You accept the risk that a configured delivery could occur even though the real-world circumstance you had in mind did not occur.

Where supported, you may be able to stop or modify a pending delivery before the final trigger is processed by responding to a reminder, using an available check-in control, pausing or deleting the schedule, or otherwise changing the instruction.

8.3 Recipient Information

You are responsible for entering and maintaining accurate recipient names, email addresses, phone numbers, and other delivery information. Contact information can be mistyped, compromised, abandoned, or reassigned. To the fullest extent permitted by law, Amaran is not responsible for a delivery that reaches the wrong person or fails because recipient information was inaccurate, outdated, compromised, or entered incorrectly.

8.4 Delivery Method, Timing, and Third-Party Dependencies

Amaran may deliver information using email, secure or direct download links, notifications, or other supported delivery methods. A delivery may be treated as initiated or technically completed when Amaran transmits the applicable message, notification, or link to the destination or communications provider reflected in our systems.

We cannot control whether a message is received, opened, filtered as spam, rejected, delayed, forwarded, intercepted, or deleted. Delivery also depends on networks, devices, app platforms, email systems, and other services outside our control. We do not guarantee delivery at an exact second, minute, or hour or that any recipient will receive, access, or read a delivery.

Do not rely on Amaran as the sole mechanism for instructions that are time-critical or necessary to protect life, health, legal rights, or property.

8.5 After Delivery

After content is delivered or obtained by a recipient, it may be copied, saved, photographed, forwarded, disclosed, or otherwise used outside our control. Amaran is not responsible for the acts or omissions of recipients after delivery.

8.6 Release for User-Configured Deliveries

To the fullest extent permitted by applicable law, you release Amaran and its members, managers, officers, employees, contractors, and agents from claims arising solely from a delivery that was executed materially in accordance with the recipient information and delivery settings you configured, including a delivery resulting from your failure to respond to a check-in or inactivity reminder. This release does not waive rights that applicable law does not allow you to waive.

9. Family Members, Executors, and Other Representatives

Except where required by applicable law or binding legal process, Amaran will not release, reassign, disclose, or provide access to User Content merely because a person claims to be the user's spouse, domestic partner, parent, child, sibling, heir, beneficiary, executor, administrator, trustee, attorney, agent, personal representative, or other family member or representative.

If you want a person to receive particular content through Amaran, you are responsible for designating that person as a recipient and assigning the applicable content to that recipient. Amaran may require identity verification, legal documentation, court process, or other evidence before responding to a request concerning a deceased, incapacitated, or unavailable user.

10. Death or Incapacity of an Account Holder

Receiving notice that an account holder has died or become incapacitated does not itself authorize Amaran to alter the user's saved instructions, release the entire account, or provide access to another person.

Subject to the account having an active subscription, applicable law, these Terms, and technical availability, Amaran may continue to process valid delivery instructions according to the settings last configured by the account holder. A user's death or incapacity does not automatically reactivate an expired subscription or create a right to delivery while the subscription is inactive.

Except where applicable law or binding legal process requires otherwise, Amaran will not accept instructions from another person to change recipients, modify delivery instructions, or disclose additional User Content merely because that person claims authority over the user or the user's estate.

11. Storage and Technical Limits

Each plan may include storage quotas, file-size limits, file-type limits, and other technical restrictions shown in the Service or purchase interface. We may enforce reasonable technical limits needed for security, stability, performance, or compliance.

If you reach an applicable storage limit, we may restrict or delay new uploads until you free storage or change your plan. We do not guarantee indefinite preservation of any file. Maintain independent copies of important information.

12. Subscriptions, Trials, Billing, and Refunds

12.1 Purchase Channels

Mobile in-app purchases may be processed through the Apple App Store or Google Play. If Amaran offers an authorized web or other direct purchase channel, the terms presented at checkout and the applicable payment provider's rules also apply. The price, currency, billing period, storage allocation, trial terms, and other material purchase terms displayed at the time of purchase form part of your transaction.

12.2 Seven-Day Trial

Where offered, eligible new subscribers may receive a seven-day free trial. Trial eligibility may be limited as disclosed at purchase. Unless you cancel within the period required by the applicable billing provider before the trial ends, the selected paid subscription will begin automatically and the applicable payment method may be charged.

The precise trial-ending time and cancellation deadline displayed by the applicable billing provider control where they differ from this general description.

12.3 Automatic Renewal

Monthly and annual subscriptions automatically renew for additional subscription periods until canceled in accordance with the applicable billing provider's procedures. By purchasing an auto-renewing subscription, you authorize the applicable billing provider to charge the then-applicable subscription price, taxes, and permitted fees at renewal, subject to the provider's terms and applicable law.

You are responsible for initiating cancellation before the next renewal if you do not want the subscription to continue.

12.4 Cancellation and Continued Access

Cancellation normally stops future automatic renewals. Unless a billing-provider rule, refund, immediate termination right, or applicable law provides otherwise, cancellation does not reverse a charge already processed and you ordinarily retain paid access through the end of the billing period already purchased.

Deleting the Amaran app, deleting your Amaran account, ceasing to use Amaran, or removing a payment method does not necessarily cancel a subscription. Recurring subscriptions must be canceled separately through the applicable billing provider.

12.5 No Prorated Refunds

Except where required by applicable law or provided under the applicable app store or payment provider's refund rules, fees already charged are non-refundable. Cancellation does not by itself entitle you to a refund or credit for unused time, a partially used monthly or annual period, unused features, unused storage, or time remaining after cancellation.

For example, if you cancel an annual subscription halfway through its term, cancellation will ordinarily prevent the next annual renewal while paid access continues through the existing term; it does not ordinarily result in a refund for the unused portion.

Nothing in these Terms limits a mandatory refund, withdrawal, cancellation, or consumer right that applicable law does not permit you to waive.

12.6 Promotional and Discounted Offers

Promotional, founding-member, referral, influencer, introductory, or discounted offers may have additional eligibility criteria, duration limits, storage limits, or renewal terms disclosed with the offer. Unless the offer expressly states otherwise, promotional pricing may expire and renew at the standard price applicable to the relevant plan at the time of renewal, subject to required notice, billing-provider procedures, and applicable law.

12.7 Price Changes

We may change prices prospectively. Existing renewing subscriptions remain subject to applicable billing-provider procedures, required notice, and any legally required consent before a new price takes effect.

12.8 Taxes and Billing Provider Charges

Prices displayed at checkout may not include taxes or charges imposed by a government, app store, or payment provider. Where applicable, the billing provider may calculate, collect, remit, or display taxes or required charges under its own rules. You are responsible for amounts lawfully due in connection with your purchase, except to the extent the applicable billing provider or law places that responsibility on Amaran.

13. Subscription Expiration, Frozen Accounts, and Scheduled Deliveries

When a paid subscription expires or otherwise becomes inactive, the account enters a limited or frozen state. During an available recovery period, Amaran may permit you to sign in, view or download existing content, cancel pending deliveries, and perform limited account-management actions. You may not upload new content or create new delivery instructions while the subscription is inactive.

NO SCHEDULED, RECURRING, INACTIVITY-BASED, OR OTHER AUTOMATED DELIVERY WILL BE PROCESSED WHILE THE APPLICABLE SUBSCRIPTION IS INACTIVE. Pending delivery instructions remain suspended during the applicable recovery period.

If you reactivate an eligible subscription during the recovery period, pending delivery instructions may resume based on their then-current settings. You are responsible for reviewing those instructions after reactivation. Amaran is not responsible for a delivery that was delayed or not made because the subscription was inactive.

Amaran generally retains account content for up to 90 days following subscription expiration to permit renewal and retrieval. After that period, Amaran may permanently delete account content, recipients, and delivery instructions in accordance with the Privacy Policy. To keep scheduled-delivery functionality active, you must maintain an active subscription.

14. Payment Disputes and Chargebacks

If you believe a charge is incorrect, duplicated, unauthorized, or otherwise improper, contact the applicable app store, payment provider, or Amaran support promptly.

If a payment associated with your account is refunded, reversed, disputed, or charged back, we may suspend or revoke the paid entitlement associated with that payment to the extent permitted by applicable law and platform rules.

We may provide transaction, account, acceptance, and service-use records reasonably necessary to respond to a billing dispute. We do not disclose private vault content merely to prove that a purchase occurred unless legally required or specifically relevant to the dispute.

We may investigate suspected chargeback abuse. If we reasonably determine that a user knowingly submitted a fraudulent, false, or abusive payment dispute, repeatedly disputed valid charges after receiving the service, or otherwise engaged in payment fraud, we may restrict future purchases, suspend or terminate the account, and seek recovery of lawfully owed amounts and reasonable dispute-related costs to the extent permitted by law.

Nothing in this Section prevents you from exercising a good-faith billing-dispute or chargeback right available under applicable law.

15. Account Deletion

You may initiate account deletion using deletion controls made available in the Amaran app, through a designated web deletion resource where available, or by contacting privacy@amaran.app from the email address associated with the account.

We may require reauthentication or reasonable identity verification before processing a deletion request. Once a verified deletion request is accepted, Amaran may disable account access promptly and begin deleting or de-identifying associated personal information and User Content from active systems. We generally aim to complete active-system deletion within 30 days, except information that may be retained for legal, tax, accounting, security, fraud-prevention, payment-dispute, abuse-prevention, or other legitimate purposes.

Residual copies may remain temporarily in protected backups, logs, or storage systems until ordinary retention or lifecycle processes remove them. Information already delivered to or downloaded by recipients is outside Amaran's control.

Deleting an Amaran account does not automatically cancel a recurring subscription. You must separately cancel recurring billing through the applicable app store or payment provider.

16. Suspension and Termination by Amaran

We may restrict, suspend, freeze, or terminate access where we reasonably believe doing so is necessary because of a material or repeated breach of these Terms; fraud or suspected fraud; payment reversal; security risk; unauthorized access; unlawful activity; abuse; technical threats; legal or regulatory requirements; or substantial risk to Amaran, users, recipients, or third parties.

Where circumstances permit and applicable law requires, we will provide notice or a reasonable opportunity to retrieve User Content before permanent account closure. We may act without advance notice where notice would create a security risk, violate law, interfere with an investigation, or expose a person or system to harm.

17. Acceptable Use

  • Do not store, transmit, or direct delivery of unlawful material.
  • Do not harass, stalk, threaten, defraud, exploit, or harm another person.
  • Do not distribute malware, malicious code, or unlawful unsolicited messages.
  • Do not violate intellectual-property, privacy, publicity, confidentiality, or other rights.
  • Do not impersonate another person or obtain unauthorized access to accounts, systems, or data.
  • Do not probe, scan, bypass, or defeat authentication, security controls, or technical restrictions.
  • Do not interfere with, overload, disrupt, scrape, or abuse the Service.
  • Do not use the Service to facilitate fraud, unlawful activity, or unauthorized commercial storage or delivery services.
  • Do not use the Service in violation of applicable sanctions, export, or trade-control laws.

18. Third-Party Services, APIs, SDKs, and AI

Amaran may depend on third-party infrastructure, app stores, operating systems, communications services, payment systems, APIs, software development kits, authentication services, and other service providers. These services may experience outages, errors, security incidents, latency, policy changes, or discontinuation outside Amaran's reasonable control.

To the maximum extent permitted by law, Amaran does not warrant the continuous availability, accuracy, performance, or conduct of independent third-party services.

If Amaran offers an AI-assisted feature in the future, AI-generated or AI-processed output may be incomplete, inaccurate, misleading, unavailable, or unsuitable for a user's circumstances and must not be relied upon as legal, medical, financial, tax, or other professional advice. Additional disclosures or terms may apply to any such feature.

Nothing in this Section excludes responsibility that applicable law expressly places on Amaran for its own processing or its use of service providers.

19. Service Changes, Beta Features, and Discontinuation

Amaran is an evolving service. We may add, modify, replace, restrict, suspend, or remove features for product, technical, security, legal, operational, or business reasons. Features identified as beta, preview, experimental, early access, or similar may be incomplete, may contain defects, may change without notice, and may be withdrawn at any time.

We do not guarantee that any particular feature, integration, user interface, technology, or third-party service will remain available indefinitely.

If Amaran permanently discontinues the paid Service, we will use commercially reasonable efforts to provide active subscribers at least 30 days' advance notice by email, in-app notice, or another reasonable method and, where technically and legally feasible, an opportunity during that notice period to retrieve stored content. If we discontinue the Service, we will refund the unused portion of any prepaid annual subscription fee, through the applicable billing provider where its rules allow and otherwise directly. This does not change Section 12.5: if you cancel, no prorated refund is given.

20. WARRANTY DISCLAIMER - "AS IS" AND "AS AVAILABLE"

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMARAN AND THE SERVICE ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

AMARAN DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT FILES OR DATA WILL NEVER BE LOST, CORRUPTED, DELETED, DISCLOSED, OR MADE UNAVAILABLE; THAT ANY SECURITY MEASURE WILL PREVENT EVERY UNAUTHORIZED ACCESS OR CYBERATTACK; THAT A DELIVERY WILL OCCUR AT A PARTICULAR TIME OR BE RECEIVED OR READ; THAT RECIPIENT INFORMATION WILL REMAIN VALID; THAT THIRD-PARTY SERVICES WILL REMAIN AVAILABLE; OR THAT ALL DEFECTS OR VULNERABILITIES WILL BE IDENTIFIED OR CORRECTED.

Some jurisdictions do not allow particular warranty disclaimers. In those jurisdictions, this Section applies only to the maximum extent permitted by law.

21. LIMITATION OF LIABILITY

21.1 Excluded Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMARAN LLC AND ITS MEMBERS, MANAGERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OPPORTUNITY, DATA, CONTENT, OR BUSINESS; COST OF SUBSTITUTE SERVICES; OR OTHER INTANGIBLE LOSS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THIS EXCLUSION INCLUDES LOSSES ARISING FROM LOST, CORRUPTED, DELETED, INACCESSIBLE, OR DISCLOSED CONTENT; FAILED, EARLY, LATE, DUPLICATE, OR MISDIRECTED DELIVERY; A DELIVERY SUSPENDED BECAUSE A SUBSCRIPTION WAS INACTIVE; MISSED REMINDERS; INACCURATE RECIPIENT INFORMATION; UNAUTHORIZED ACCOUNT ACCESS; RECIPIENT CONDUCT; THIRD-PARTY SERVICE FAILURES; PAYMENT OR APP-STORE FAILURES; OR A USER'S FAILURE TO MAINTAIN BACKUPS OR CURRENT ACCOUNT INFORMATION.

21.2 Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMARAN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, FOR ALL CLAIMS COMBINED, WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU ACTUALLY PAID FOR THE AMARAN SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) US $100.

21.3 Mandatory Exceptions

Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law. Depending on applicable law, this may include liability for fraud, fraudulent misrepresentation, willful misconduct, death or personal injury caused by negligence, certain gross-negligence claims, statutory privacy or data-protection liability, or mandatory consumer remedies.

21.4 No Personal Liability Solely by Status

To the fullest extent permitted by applicable law, no member, manager, officer, employee, or agent of Amaran LLC will have personal liability for an obligation of Amaran LLC solely by reason of that person's status or service for the company. This provision does not limit liability that applicable law independently imposes on a person for that person's own conduct.

21.5 Basis of the Bargain

You acknowledge that the pricing of the Service reflects the allocation of risk in these Terms and that Amaran would not offer the Service on the same economic terms without the disclaimers and limitations stated here.

22. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Amaran LLC and its members, managers, officers, employees, contractors, and agents from third-party claims, liabilities, judgments, penalties, losses, costs, and reasonable legal fees arising from User Content you unlawfully store or direct us to deliver; your lack of authority to provide another person's information; your recipient selections or delivery instructions; your unlawful use of the Service; your violation of another person's rights; or your material breach of these Terms.

This Section does not require a consumer to indemnify Amaran for Amaran's own unlawful conduct and applies only to the extent permitted by applicable law.

23. Force Majeure

To the fullest extent permitted by law, Amaran is not responsible for delay, interruption, or failure caused by circumstances beyond our reasonable control, including internet or telecommunications failures, cloud or app-store outages, email failures, power failures, cyberattacks, denial-of-service events, natural disasters, fire, flood, epidemic, pandemic, labor disputes, war, terrorism, civil unrest, governmental action, sanctions, or changes in law.

24. U.S. Dispute Resolution and Binding Individual Arbitration

THIS SECTION APPLIES TO USERS IN THE UNITED STATES TO THE EXTENT PERMITTED BY LAW. IT DOES NOT APPLY WHERE APPLICABLE LAW PROHIBITS PRE-DISPUTE CONSUMER ARBITRATION.

24.1 Informal Resolution First

Before initiating arbitration or litigation other than an eligible small-claims action, the party asserting a dispute must send written notice describing the dispute and requested relief. Notices to Amaran must be sent to legal@amaran.app. The parties will attempt in good faith to resolve the dispute for 60 days after receipt of a complete notice. Applicable limitations periods will be tolled during that period to the extent permitted by law.

24.2 Agreement to Arbitrate

If a dispute is not resolved informally, you and Amaran agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, a purchase, or the relationship between you and Amaran will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules, except that either party may bring an eligible individual claim in small-claims court. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

24.3 Delegation to the Arbitrator

Except where applicable law requires a court to decide the issue, the arbitrator, and not any federal, state, or local court or agency, will have exclusive authority to resolve any dispute concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable.

24.4 Individual Relief Only; Class and Jury Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND AMARAN AGREE THAT CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A CLASS, COLLECTIVE, COORDINATED, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

WHERE LEGALLY PERMITTED, YOU AND AMARAN EACH WAIVE THE RIGHT TO A JURY TRIAL FOR DISPUTES COVERED BY THIS ARBITRATION AGREEMENT. This provision does not authorize class arbitration. If a particular non-waivable claim cannot lawfully be subject to the individual-action waiver, that claim will proceed in the forum required by applicable law.

24.5 Mass Arbitration

If substantially similar individual arbitration demands are coordinated in circumstances constituting a mass arbitration under AAA's then-current rules, the demands will be administered under applicable AAA mass-arbitration procedures. Nothing in this provision authorizes class arbitration.

24.6 Arbitration Opt-Out

You may opt out of Sections 24.2 through 24.5 by emailing legal@amaran.app within 30 days after the first date on which you affirmatively accept these Terms. Your notice must identify the email address associated with your Amaran account and clearly state that you are opting out of the arbitration agreement. Opting out does not affect any other provision of these Terms.

25. EU, EEA, UK, and Other Mandatory Consumer Rights

If you are a consumer habitually resident in the European Union, European Economic Area, United Kingdom, or another jurisdiction that provides mandatory consumer rights, nothing in these Terms deprives you of rights or remedies that applicable law does not permit you to waive.

Section 24 does not apply to the extent mandatory law applicable to you makes a pre-dispute arbitration requirement, class waiver, jury waiver, venue clause, contractual limitation period, or similar provision invalid or unenforceable.

26. Governing Law and Venue

Except for the Federal Arbitration Act's application to Section 24, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

For U.S. disputes not subject to arbitration and where applicable law permits, exclusive venue will lie in the state or federal courts located in Dallas County, Texas.

If you are a consumer outside the United States, this choice of law and forum does not deprive you of mandatory protections that the law of your habitual residence does not permit you to waive.

To the fullest extent permitted by applicable law, any claim must be commenced within one year after it accrued. This contractual limitation does not apply where applicable law requires a longer period.

27. Apple App Store Additional Terms

If you download or use Amaran through Apple's App Store, the following additional terms apply:

  • These Terms are between you and Amaran LLC, not Apple Inc. ("Apple"). Amaran, not Apple, is responsible for the Amaran application and its content.
  • Your license is limited to a non-transferable license to use Amaran on Apple-branded products that you own or control, as permitted by applicable Apple usage rules.
  • Amaran, not Apple, is responsible for maintenance and support to the extent required by these Terms or applicable law. Apple has no obligation to furnish maintenance or support for Amaran.
  • Amaran is responsible for product warranties that cannot lawfully be disclaimed. If Amaran fails to conform to an applicable warranty, you may notify Apple and Apple may provide any refund required by Apple's applicable terms. To the maximum extent permitted by law, Apple has no other warranty obligation regarding Amaran.
  • Amaran, not Apple, is responsible for addressing product-liability, legal, regulatory, consumer-protection, and similar claims concerning Amaran or your possession or use of it.
  • If a third party claims that Amaran or your use of it infringes intellectual-property rights, Amaran, not Apple, is responsible for the investigation, defense, settlement, and discharge of that claim to the extent required by law.
  • You must comply with applicable third-party terms when using Amaran.
  • You represent that you are not located in a jurisdiction subject to applicable U.S. Government embargo restrictions and are not listed on an applicable U.S. Government prohibited or restricted-party list, except to the extent law prohibits requiring such representation.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the Apple-distributed application and may enforce the applicable provisions against you.

28. Google Play Additional Terms

If you obtain Amaran through Google Play, these Terms remain between you and Amaran LLC. Google is not a party to these Terms. Google Play's applicable terms govern acquisition, Store billing, subscriptions, and Google Play services. Amaran, not Google, is responsible for the Amaran Service, its content, maintenance, and support except to the extent Google's own terms expressly provide otherwise. Google has no obligation to provide maintenance or support for Amaran. Nothing in these Terms limits a right or remedy provided directly by Google or applicable law.

29. Export and Sanctions Compliance

You may not use, access, export, or re-export the Service in violation of applicable U.S. export-control, trade, or sanctions laws. We may restrict access where reasonably necessary to comply with applicable trade restrictions.

30. Electronic Communications

You consent to receive transactional and service-related communications electronically, including authentication codes, security alerts, password-reset messages, subscription information, account notices, check-ins, reminders, delivery-related communications, and policy notices. Marketing communications, if any, will be subject to applicable law and available opt-out rights. You are responsible for maintaining current contact information.

31. Changes to These Terms

We may update these Terms for product, legal, regulatory, security, technical, or business reasons.

If we make a material change that materially affects your rights or obligations, we will provide at least 30 days' advance notice by email, through the Service, or another reasonable method, except where a shorter period is reasonably necessary to address legal, regulatory, security, fraud-prevention, or urgent technical requirements.

Where applicable law requires affirmative consent, the change will not become binding unless the required consent is obtained. A change will not retroactively alter a dispute that arose before the change where applicable law prohibits that result.

32. Assignment

You may not assign or transfer your account or these Terms without our written consent. We may assign these Terms in connection with a merger, financing, acquisition, reorganization, sale of assets, transfer of the Amaran business, or similar transaction, subject to applicable law.

33. Severability; No Waiver

If a provision is held invalid or unenforceable, it will be enforced to the maximum extent legally permitted and the remaining provisions will remain in effect, except where applicable law requires another result.
